Generally, purchasing shares when there is a capital increase, in other words, buying into the company. Having said that, we are flexible in how each operation is structured and consider alternative investment formulae where necessary. We adapt to the characteristics of each case.
Normally we buy a minority stake so the main shareholder retains control.
In each transaction a shareholders' agreement is signed between the parties, specifying the details: the business plan to be carried out, necessary investment and how it will be financed, the members of the governing bodies, the decision-making process, the means of divestment, etc. In other words, the main issues are discussed and agreed before we get involved. That way, there are no surprises.
Our objective in Cantabria Capital is to be a shareholder on a temporary basis. Taking as a reference the timespan of the business plan, we (in conjunction with the other partners) will establish possible dates for divestment.
We believe that, in addition to financial backing, we can also help in other areas of the business. For that reason, we normally request a position on the decicion-making bodies of the company, without interfering in the day-to-day running of the same.
As a partner, we assume the same business risks as you and, in return, we seek to generate added value and we expect to reap the corresponding dividends when divestment occurs (in proportion to our capital investment).
The first step is to contact us with the details of the project. We will sign a confidentiality agreement allowing you to send us more detailed information so that we can carry out a more in-depth analysis. If the projects gains our approval, we will send you an investmest proposal, as quickly as possible.
Depending on the shareholder objectives, the following options are generally considered: either sellling our shares back to the remaining shareholders or the entity, or the sale of Cantabria Capital's stake to a third party, or the sale of the whole company. In any case, the shareholder will always have preferential rights.
